(<em>Image courtesy of <a href=\"https:\/\/www.guygold.com\/Operations\/Aurora-Gold-Mine\/Photos\/default.aspx\"  rel=\"noopener noreferrer\"> Guyana Goldfields.<\/a><\/em>)<\/p>\n<\/figcaption><\/figure>\n<p>Takeover target Guyana Goldfields (TSX:GUY) said it has received <a href=\"https:\/\/www.guygold.com\/News\/News-Details\/2020\/Guyana-Goldfields-Inc-Announces-Receipt-of-Superior-Proposal\/default.aspx\"  rel=\"noreferrer noopener\">a proposal from a \u201cforeign-based multinational miner\u201d<\/a> valuing the company at C$323 million ($240m), which it\u2019s 35% higher than what Silvercorp Metals\u2019 offer.<\/p>\n<p>The Canadian firm was <a rel=\"noreferrer noopener\" href=\"https:\/\/www.mining.com\/silvercorp-to-buy-guyana-goldfields-in-c105m-deal\/\" >first approached by Silvercorp (TSX, NYSE: SVM<\/a>) <a href=\"https:\/\/www.mining.com\/silvercorp-to-buy-guyana-goldfields-in-c105m-deal\/\">in April<\/a>, which put forward a C$105 million (C$75m) cash and stock deal. The transaction would create a\u00a0diversified precious metals producer with two silver mines in China and a gold operation in Guyana.<\/p>\n<figure class=\"wp-block-pullquote alignright\">\n<blockquote>\n<p>New bid would 35% higher than a revised offer agreed with Silvercorp Metals last month.<\/p>\n<\/blockquote>\n<\/figure>\n<p>A couple of weeks later, the company received a separate, <a href=\"https:\/\/www.mining.com\/gran-colombia-proposes-merger-with-gold-x-guyana-goldfields\/\">rival bid from Gran Colombia Gold<\/a> (TSX: GCM), which prompted Silvercorp <a href=\"https:\/\/www.mining.com\/silvercorp-amends-guyana-merger-terms-with-improved-offer\/\">to sweeten its offer<\/a>.<\/p>\n<p>Guyana says the unnamed mining company has agreed to provide a $30 million secured-loan facility to finance ongoing operations at its flagship Aurora gold mine and for other liquidity needs. Otherwise, it said the fresh offer was \u201csubstantially similar\u201d to the agreement with Silvercorp.<\/p>\n<p>Guyana said Silvercorp has five business days to match or improve the $1.85 cash-per-share&nbsp;new bid.<\/p>\n<p>\u201cAt this time, there can be no assurance that the new offer will lead to a termination of the Silvercorp arrangement agreement and the execution of a definitive agreement with the new offeror and, accordingly, the board has not changed its recommendation regarding the offer under the Silvercorp arrangement agreement,\u201d Guyana said.<\/p>\n<h2><strong>Ripple effect<\/strong><\/h2>\n<p>Guyana has been under investor pressure due to the poor performance of its only operating mine, Aurora, following a&nbsp;resources review.&nbsp;<\/p>\n<p>The mid-tier gold producer shocked the market&nbsp;in March last year by announcing&nbsp;the amount of gold in proven and probable reserves at Aurora&nbsp;had declined by almost 1.7 million ounces, compared to estimates published in 2018.&nbsp;<\/p>\n<p>The news triggered a bitter battle for control of the company led by founder&nbsp;and former chairman Patrick Sheridan, which was&nbsp;<a href=\"https:\/\/www.mining.com\/guyana-goldfields-ceo-go-miner-settles-proxy-fight-founder\/\"  rel=\"noreferrer noopener\">settled in April 2019<\/a>. The deal included the appointment of an interim director and chief executive, who was replaced in January by Alan Pangbourne, Guyana\u2019s current president and CEO.<\/p>\n<p>Shares in the company&nbsp;<a href=\"https:\/\/www.mining.com\/guyana-goldfields-to-miss-guidance-stock-falls-to-lowest-since-2008\/\"  rel=\"noreferrer noopener\">fell to the lowest since 2008<\/a>&nbsp;in October, after the embattled Canadian miner revealed Aurora would fail to meet production guidance. The company added that a mine plan review was underway.<\/p>\n<p>Guyana Goldfields\u2019 share price steadily declined since then.
