{"id":1111995,"date":"2019-04-22T10:50:06","date_gmt":"2019-04-22T10:50:06","guid":{"rendered":"http:\/\/www.mining.com\/?p=983613"},"modified":"2019-04-22T10:50:06","modified_gmt":"2019-04-22T10:50:06","slug":"barrick-newmont-joint-venture-in-nevada-clears-all-hurdles","status":"publish","type":"post","link":"https:\/\/juniorminingnews.com\/?p=1111995","title":{"rendered":"Barrick, Newmont joint venture in Nevada clears all hurdles"},"content":{"rendered":"<p>Newmont Goldcorp (NYSE:NEM)(TSX:NGT) and Canada\u2019s Barrick Gold (TSX:ABX)(NYSE:GOLD), the No. 1 and 2 bullion producers, have cleared all the regulatory conditions to <a href=\"http:\/\/www.mining.com\/barrick-gives-plans-acquire-newmont-will-form-nevada-jv-instead\/\">combine their operations in Nevada<\/a> ahead of schedule.<\/p>\n<p>The U.S. Federal Trade Commission, <a href=\"https:\/\/www.barrick.com\/English\/news\/news-details\/2019\/Nevada-Joint-Venture-Deal-Clears-All-Regulatory-Conditions\/default.aspx\">said the companies<\/a>, granted an early termination of the waiting period under the Hart-Scott-Rodino Act on April 19.<\/p>\n<p>The new business, yet to be named, will be owned 38.5% by Newmont Goldcorp and 61.5% by Barrick, which will also be the operator of what the partners say it\u2019ll be the world\u2019s largest gold producing complex.<\/p>\n<p>The \u201chistoric\u201d business combination (as the duo called it) is expected to generate savings of $500 million a year within the first full five years. It includes Barrick\u2019s Goldstrike, Cortez, Turquoise Ridge, and Goldrush and Newmont\u2019s Carlin, Twin Creeks, Phoenix, Long Canyon, along with associated processing plants and infrastructure of both companies.<\/p>\n<p>Excluded from the joint-venture, for now, are Barrick\u2019s Fourmile project and Newmont\u2019s Fiberline and Mike deposits. It also does not include Newmont\u2019s Cripple Creek &amp; Victor mine.<\/p>\n<p>The agreement follows Newmont\u2019s\u00a0<a href=\"http:\/\/www.mining.com\/newmont-rejects-18b-hostile-bid-barrick-releases-private-messages\/\">rejection of Barrick\u2019s $18 billion hostile bid<\/a>\u00a0last week, countering with a proposal for a JV with a 55% interest for Barrick.<\/p>\n<p>Newmont\u2019s contra-offer wasn\u2019t immediately welcome by the Toronto-based miner, which wanted a higher percentage and control of the venture.<\/p>\n<p>After exchanging quite a few mutual verbal offences, the chief executives of the long-time rival miners reached a consensus\u00a0<a href=\"http:\/\/www.mining.com\/web\/megamerger-push-gold-miners-looking-dance-partners\/\">over dinner in New York<\/a>\u00a0last month.<\/p>\n<p>Practical measures required to integrate the joint venture assets and establish the new business are now being taken, the partners said, and they are anticipated to be complete within the current quarter.<\/p>\n<p>The post <a rel=\"nofollow\"
