{"id":1097284,"date":"2019-01-31T11:09:37","date_gmt":"2019-01-31T11:09:37","guid":{"rendered":"http:\/\/www.mining.com\/?p=966948"},"modified":"2019-01-31T11:09:37","modified_gmt":"2019-01-31T11:09:37","slug":"solgold-wants-ecuadorian-project-for-itself-plans-buying-minority-shareholder","status":"publish","type":"post","link":"https:\/\/juniorminingnews.com\/?p=1097284","title":{"rendered":"SolGold wants Ecuadorian project for itself, plans buying minority shareholder"},"content":{"rendered":"<p>Ecuador-focused explorer SolGold (LON, TSX:SOLG) <a href=\"http:\/\/ir.q4europe.com\/Tools\/newsArticleHTML.aspx?solutionID=3676&amp;customerKey=Solgold&amp;storyID=14202692\"  rel=\"noopener\">revealed Thursday<\/a> plans to acquire Cornerstone Capital Resources (TSX-V:CGP), a Canadian firm which has a 15% interest in the miner\u2019s coveted Cascabel copper-gold project, located 180 km north of the capital Quito.<\/p>\n<p>The takeover would see Cornerstone\u2019s investors receive 0.55 SolGold shares for each their shares, which SolGold said was a 20% premium.<\/p>\n<p><q class='pullQuote-right'>In its pitch to Cornerstone investors, SolGold called the company&#8217;s management &#8216;disingenuous&#8217; in promoting its stake in Cascabel without making clear it would eventually need to cover its share of exploration financing.<\/q><\/p>\n<p>&#8220;We are pleased to have reached the point where we feel an offer to combine SolGold and Cornerstone makes sense for Cornerstone shareholders,&#8221; SolGold Chief Executive Nick Mather said <a href=\"http:\/\/ir.q4europe.com\/Tools\/newsArticleHTML.aspx?solutionID=3676&amp;customerKey=Solgold&amp;storyID=14202692\"  rel=\"noopener\">in the statement<\/a>.<\/p>\n<p>&#8220;The combined entity will have tremendous economic upside, further de-risk the ownership structure and present a simplified and highly attractive value proposition for investors,&#8221; he noted.<\/p>\n<p>The company believes consolidating the ownership of Cascabel into one company makes &#8220;eminent&#8221; sense, and it said it has attempted to do this with Cornerstone in both 2017 and 2018.<\/p>\n<p>It said the company had asked for far too much in return, including the removal of Mather as CEO and Brian Moller as chairman.<\/p>\n<p>In its proposal to Cornerstone\u2019s investors, SolGold used rather harsh words to refer to the targeted-company\u2019s management. It said the firm has been &#8220;disingenuous&#8221; in promoting its stake in Cascabel without making clear it would need to cover its share of exploration financing at some point.<\/p>\n<p>&#8220;Cornerstone&#8217;s communications frequently refer to the carried nature of its 15% interest ambiguously, leaving shareholders and the investing public to assume that the interest is \u2018free-carried&#8217; through to the completion of a feasibility study on the Cascabel Project,&#8221; SolGold said.<\/p>\n<p>&#8220;This is not the case.&#8221;<\/p>\n<div id=\"attachment_966959\" style=\"width: 740px\" class=\"wp-caption aligncenter\"><img decoding=\"async\" loading=\"lazy\" class=\"size-full wp-image-966959\" src=\"http:\/\/www.mining.com\/wp-content\/uploads\/2019\/01\/cascabel-project-location.jpg\" alt=\"SolGold wants Ecuadorian project for itself, plans buying minority shareholder\" width=\"730\" height=\"621\" srcset=\"http:\/\/www.mining.com\/wp-content\/uploads\/2019\/01\/cascabel-project-location.jpg 730w, http:\/\/www.mining.com\/wp-content\/uploads\/2019\/01\/cascabel-project-location-300x255.jpg 300w\" sizes=\"(max-width: 730px) 100vw, 730px\" \/><\/p>\n<p class=\"wp-caption-text\">Cascabel project location. (<em>Courtesy of\u00a0<a href=\"http:\/\/www.solgold.com.au\/ecuador\/\"  rel=\"noopener\">SolGold.<\/a><\/em>)<\/p>\n<\/div>\n<p>Ontario-based Cornerstone handed SolGold an initial 20% Cascabel, one of the few new copper bearing ones expected to come online in the near future, with an earn-in option over four years in 2012.<\/p>\n<p>The asset now has a mineral resource of 2.95 billion tonnes at 0.52% copper, with $117 million spent on exploration.<\/p>\n<h4><strong>Eyes on Cascabel<\/strong><\/h4>\n<p>Cascabel has attracted quite a few major miners and boosted SolGold\u2019s position in the global market.<\/p>\n<p>Australia\u2019s largest gold producer, Newcrest Mining (ASX: NCM),\u00a0<a href=\"http:\/\/www.mining.com\/australias-top-gold-miner-boosts-bets-ecuador-copper-project\/\"  rel=\"noopener\">upped its stake in SolGold<\/a>\u00a0in December to 15.33% from 13.83%, to secure a portion of the Cascabel.<\/p>\n<p>The move further boosted Newcrest\u2019s position in SolGold against No.2 shareholder, BHP, which in September had\u00a0<a href=\"http:\/\/www.mining.com\/worlds-biggest-miner-speeds-hunt-copper-assets-buys-6-stake-solgold\/\"  rel=\"noopener\">bought a 6.1% stake<\/a>\u00a0in the explorer.<\/p>\n<p><q class='pullQuote-left'>SolGold has a 100% interest in other 12 copper-gold targets in Ecuador, which it says is under-explored compared to Chile, the world&#8217;s top copper producer.<\/q><\/p>\n<p>Ecuador has gained ground as a mining investment destination in the past two years, thanks to a revised regulatory framework and a\u00a0<a href=\"http:\/\/www.mining.com\/ecuador-mining-industry-to-grown-eightfold-by-2021-report\/\"  rel=\"noopener\">major investor engagement campaign<\/a>.<\/p>\n<p>Almost a year ago, Newcrest Mining (ASX:NMC)\u00a0<a href=\"http:\/\/www.mining.com\/web\/australias-top-gold-miner-boosts-bets-ecuadors-riches\/\"  rel=\"noopener\">took a 14% stake in Lundin Gold<\/a>, which expects to\u00a0<a href=\"http:\/\/www.mining.com\/lundin-lowers-costs-ups-reserves-ecuadors-largest-underground-mine\/\"  rel=\"noopener\">bring its Fruta del Norte gold and silver mine<\/a>\u00a0in southeastern Ecuador into production by the end of 2019.<\/p>\n<p>Anglo American (LON:AAL) also landed in the South American country last year. Through a deal with Canadian Luminex Resources (TSX-V: LR), it plans to develop two copper and gold concessions there.<\/p>\n<p>Currently, the nation\u2019s emerging mining sector employs 3,700 people, but\u00a0<a href=\"http:\/\/www.mining.com\/ecuador-anticipates-4-billion-in-mining-investments-by-2021\/\"  rel=\"noopener\">the government estimates<\/a> the figure will rise to about 16,000 by 2020.<\/p>\n<p>SolGold has a 100% interest in 12 copper-gold targets in Ecuador, which it says is under-explored compared to Chile, the world&#8217;s top copper producer.
