Northern Sphere Mining Corp. (CSE:NSM) (OTCQB: NSMCF) (\u201cNorthern Sphere\u201d or the \u201cCompany\u201d) announced today that it proposes to raise up to $400,000 through a non-brokered private placement (the \u201cPrivate Placement\u201d) of up to 5,000,000 units (\u201cUnits\u201d) of the Company at a price of $0.08 per Unit. Finders fees may be payable in connection with the Private Placement and the Private Placement may be closed in tranches. Each Unit will be comprised of one common share (\u201cCommon Share\u201d) of the Company and one Common Share purchase warrant (a \u201cWarrant\u201d). Each Warrant will be exercisable to acquire one Common Share (a \u201cWarrant Share\u201d) for a period of three years months following the date of closing at an exercise price of $0.12 per Warrant Share, subject to adjustments in certain events.<\/p>\n

The Company anticipates that the net proceeds from the Private Placement will be used for the ongoing development of mining assets and for general corporate purposes.<\/p>\n

The Company also announced today that it proposes to effect a debt conversion (the \u201cDebt Conversion\u201d) of approximately $334,000 owing to certain creditors of the Company. The Debt Conversion will consist of the issuance of Common Shares at a conversion price of $0.08 per Common Share.<\/p>\n

Common Shares issued pursuant to the Private Placement and the Debt Conversion, and Warrant Shares issuable upon the due exercise of the Warrants, will be subject to a four-month hold period from the date of closing.<\/p>\n
